1. Nature of Services

The Company operates "Apex On Leads" as a lead-generation and loan comparison platform that connects Borrowers with trusted lending partners, banks, non-banking financial companies, and other financial service providers ("Lending Partners"). The Platform is designed to deliver verified, high-intent borrower leads to Lending Partners and to help Users explore and compare suitable loan options in a simple, transparent, and efficient manner. The Company acts solely as an intermediary facilitating such connections and is not itself a bank, non-banking financial company, or lender, and does not itself sanction, disburse, or service any loan.

2. Content

The content of the Platform, including any indicative loan offers, interest rates, or eligibility information ("Content"), is provided for your general information only and is subject to change at any time without notice. Indicative rates or offers displayed on the Platform are for comparison purposes only and do not constitute a binding offer by the Company or any Lending Partner; the final terms of any loan remain solely at the discretion of the relevant Lending Partner.

3. Eligibility

Use of the Platform is available only to individuals who are competent to contract under the Indian Contract Act, 1872, and who are at least 18 years of age. By using the Platform, you represent and warrant that you meet these eligibility criteria and that all information provided by you is true, accurate, current, and complete.

4. Representations and Warranties; No Guarantee of Outcome

Neither the Company nor any third party warrants or guarantees the accuracy, timeliness, completeness, or suitability of any information or Content available on the Platform. You acknowledge that such information may contain inaccuracies or errors, and the Company expressly excludes liability for the same to the fullest extent permitted by law.

The Company does not guarantee that any enquiry submitted through the Platform will result in a loan offer, approval, or successful transaction, nor does it guarantee the accuracy, quality, suitability, or final terms of any product offered by a Lending Partner. Any transaction or agreement entered into between a User and a Lending Partner is strictly between such parties, and the Company is not a party to, and assumes no liability arising from, any such transaction.

The Company makes no representation that the Platform or its Content is appropriate for use outside India. You are solely responsible for determining whether your access to and use of the Platform is permitted under the laws of the jurisdiction from which you access it, and your use of the Platform is entirely at your own risk.

5. Acceptable Use

You represent and warrant that you shall not, and shall not induce or assist any third party to:

• Use the Platform or Content for any unlawful purpose, or to solicit, facilitate, or induce any illegal activity.
• Provide false, inaccurate, misleading, or fraudulent information in connection with any loan enquiry.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Breach, circumvent, or attempt to circumvent any security measures implemented on the Platform, or attempt to gain unauthorised access to any account, system, or network connected to the Platform.
• Interfere with or disrupt the proper operation of the Platform, or use any device, software, or routine to do so.
• Use any deep-link, page-scrape, robot, spider, or other automated means to access, acquire, or monitor any part of the Platform or Content without authorisation.
• Copy, modify, reverse engineer, decompile, or create derivative works of any proprietary software underlying the Platform.
• Upload, publish, or share any information that is obscene, defamatory, harassing, invasive of privacy, or objectionable on grounds of religion, caste, gender, or ethnicity.
• Upload or transmit any content that infringes any patent, trademark, copyright, or other proprietary right, or that impersonates another person.
• Upload or transmit any software virus or other code designed to interrupt, damage, or limit the functionality of any computer resource.
• Knowingly share information that is patently false, misleading, or deceives the recipient as to its origin.
• Violate any applicable law, rule, or regulation while using the Platform.

If you breach any of these Terms, the Company may suspend or terminate your access to the Platform immediately and without prior notice. The Company may also suspend or terminate access to the Platform at any time, for any reason, at its sole discretion.

6. Consent to Communication

Whenever you submit information through the Platform, including through an enquiry, callback, or registration form, it will be presumed that you wish to communicate with the Company and consent to receiving communications from the Company and/or its Lending Partners, by email, telephone call, SMS, WhatsApp, RCS, or by posting notices on the Platform, for the purposes of processing your enquiry and for related promotional or marketing communications, notwithstanding your registration under any "do not disturb" or similar preference registry, to the extent permitted under applicable law. You agree that such communications satisfy any legal requirement that they be in writing, to the extent permitted by law. You may withdraw this consent at any time by writing to us at the contact details in Clause 16 below, subject to our Privacy Policy.

7. Registration and Account

Certain features of the Platform, including the mobile application, may require you to register and create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account, and agree to promptly notify the Company of any unauthorised use of your account.

8. Indemnification

You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, and agents against any and all losses, liabilities, damages, and claims, including reasonable attorneys' fees and costs, arising out of or in connection with: (a) your breach of these Terms; (b) your use or misuse of the Platform or Content; (c) your violation of any applicable law or the rights of any third party; or (d) any inaccurate or false information provided by you.

9. Third-Party Sites and Lending Partners

The Platform may include links to, or facilitate your connection with, third-party websites or Lending Partners. These links and connections are provided for your convenience, and their inclusion does not signify that the Company endorses such third party. The Company has no responsibility for the content, accuracy, or practices of any third-party site or Lending Partner, and your use of or engagement with any such third party is subject to their own terms of use and privacy policy, which may differ from these Terms and our Privacy Policy.

10. Limitation of Liability

To the maximum extent permitted by law, in no event shall the Company be liable to you or any third party for any direct, special, indirect, incidental, punitive, exemplary, or consequential damages of any kind, including loss of profits, loss of goodwill, loss of data, or cost of procurement of substitute services, arising out of or relating to your use of, or inability to use, the Platform or Content, or any transaction with a Lending Partner, whether based on breach of contract, warranty, tort, including negligence, or otherwise, even if the Company has been advised of the possibility of such damages.

11. Intellectual Property

The Platform and its Content, including the design, layout, look, appearance, graphics, and the "Apex On Leads" name and mark, are owned by or licensed to the Company and are protected by applicable intellectual property laws. Reproduction of any part of the Platform is prohibited except in accordance with any copyright notice forming part of these Terms. All third-party trademarks reproduced on the Platform are acknowledged as belonging to their respective owners. Unauthorised use of the Platform or its Content may give rise to a claim for damages and/or constitute a criminal offence.

12. Severability and Entire Agreement

These Terms, together with the Privacy Policy and any additional agreement you may enter into with the Company in connection with the services, constitute the entire agreement between you and the Company concerning your use of the Platform. If any provision of these Terms is held invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible so as to preserve the intent of these Terms, and the remaining provisions shall continue in full force and effect.

13. Assignment

You may not transfer or assign these Terms, or any rights or licences granted hereunder, to any third party. The Company may assign these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, or sale of assets.

14. Updates to these Terms

These Terms may be revised from time to time, and the updated version will be posted on the Platform along with a revised "Effective Date". If you do not agree with the updated Terms, you should stop accessing and using the Platform. Your continued use of the Platform after any such update constitutes your acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Courts of competent jurisdiction at Delhi shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, and you irrevocably waive any objection to such jurisdiction; provided that the Company may seek to enforce any judgment in its favour before any court of competent jurisdiction, and may seek injunctive or other equitable relief before any court of competent jurisdiction to protect its proprietary or other rights.
